Terms of Service

These terms govern your use of Tracegrain. By creating an account or using any part of the service, you agree to them. If you do not, do not use the service.

The service

Tracegrain is an ambient runtime for AI agents. It includes a desktop application that observes your work locally, a web admin, and supporting cloud services. We may add, change, or remove features over time.

Your account

You must be at least 16 years old and able to enter a binding contract to use Tracegrain. You are responsible for the activity that happens under your account and for keeping your sign-in credentials secure. Notify us promptly if you suspect unauthorized use.

When you sign in with Google, you authorize Tracegrain to receive your basic profile information from Google for the purpose of authentication. See our Privacy Policy for details.

Acceptable use

You agree not to:

  • Use Tracegrain to violate any law or the rights of others.
  • Capture or process content you do not have permission to capture (for example, third-party screens, conversations, or accounts).
  • Reverse engineer, resell, or use the service to build a competing product, except where this restriction is prohibited by law.
  • Interfere with the integrity or performance of the service, including by probing for vulnerabilities without our written permission.

Your data and content

You own the data Tracegrain captures on your device and the content you create using the service. By using Tracegrain, you grant us a limited license to host, process, and transmit that data only as needed to provide the service to you.

Tracegrain is designed to keep raw local capture on your device. When you choose to invoke an agent action that requires cloud processing, only the scoped context required for that action is transmitted, and only for as long as needed to complete it.

AI output

Tracegrain proposes actions; a person approves them. AI-generated output may be inaccurate or incomplete. You are responsible for reviewing proposed actions before approving them and for any consequences of approving them. Do not rely on Tracegrain output as legal, financial, medical, or other professional advice.

Third-party services

Tracegrain may connect to third-party services you authorize (for example, Google, HubSpot, Slack). Those services have their own terms and privacy policies. We are not responsible for third-party services, and your use of them is governed by their terms.

Fees

Some Tracegrain features may be free; others may require a paid plan. If you subscribe to a paid plan, the fees, billing cycle, and refund policy will be presented to you at checkout and form part of these terms.

Termination

You may stop using Tracegrain and delete your account at any time. We may suspend or terminate your access if you breach these terms, if required by law, or if continued provision of the service to you would create undue risk for us or other users. On termination, the rights granted to you under these terms end, but provisions that by their nature should survive (e.g., disclaimers, limitations of liability) will survive.

Disclaimers

The service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error-free.

Limitation of liability

To the maximum extent permitted by law, Tracegrain will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total liability for any claim arising out of or relating to the service is limited to the greater of (a) the amount you paid us in the twelve months before the claim arose, or (b) US $100.

Governing law

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws rules. The exclusive venue for any dispute is the state or federal courts located in Delaware, and you and Tracegrain consent to personal jurisdiction there.

Changes

We may update these terms from time to time. If we make material changes, we will notify you by email or in-product before the change takes effect. Continued use of the service after the change means you accept the updated terms.
